Terms and Conditions

Welcome to Affordable Web Studio. These Terms and Conditions ("Terms") govern your access to and use of our website, digital platform, and services. This website and its associated services are owned and operated by Diane Marie Ladrido, doing business as Affordable Web Studio ("Agency," "AWS," "we," "us," or "our").

 

By accessing our website or purchasing our services, you ("Client," "you") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

1. Scope of Services

Affordable Web Studio provides web design, landing page development, search engine optimization (SEO), AI-search visibility optimization, digital profile management, and ongoing website management services. The specific deliverables, page counts, and strategy features are determined by the plan selected by the Client at checkout.

2. Fees, Hosting, and Domain Administration

  • Upfront Setup Fee: A one-time setup fee is due strictly in advance before any strategy, design, or technical work begins.

  • Included Hosting & Domain: The initial setup fee covers the setup of your custom domain registration (via Namecheap) and website platform hosting.

  • Platform Management: To streamline billing for the Client, AWS is directly billed for and manages the underlying platform subscription and custom domain on the Client's behalf while the account remains active and paid in full.

  • Annual Domain Renewal: Custom domains are registered on an annual basis. As long as the Client maintains an active monthly plan, AWS covers and manages the annual domain renewal fee. If a client cancels, annual domain renewal costs become the sole responsibility of the Client following account transfer.

 

3. Payment Schedule & Recurring Billing

  • First Monthly Billing Cycle: The initial monthly management fee is charged exactly 30 days after the initial setup payment is processed.

  • Recurring Billing: Service plans operate on a recurring 30-day cycle. Your payment method on file will automatically be charged every 30 days.

  • Payment Failures: If an automated payment fails, AWS will grant a 5-day grace period to update payment details. If unpaid after 5 business days, active maintenance, search optimization, and hosting staging may be suspended until the balance is cleared.

4. Terms of Ownership & Asset Transfer

  • During Active Service: All design files, custom graphics, written copy, database configurations, and custom domains managed by AWS remain under the operational control and administrative ownership of AWS while the client is on an active service plan.

  • Transfer Upon Cancellation: If the Client chooses to cancel their service agreement, full ownership of the domain name and website assets will be transferred over to the Client, provided all outstanding invoices and monthly fees have been settled in full.

  • Transfer Logistics: Domain transfer codes (EPP codes) and web platform site transfer links will be issued to the Client’s personal account within 7 business days of final account settlement. The Client is responsible for maintaining their own platform hosting fees post-transfer.

5. Refund and Cancellation Policy

  • Initial Setup Fee (Non-Refundable): The initial setup fee covers immediate allocation of strategy, manual technical configuration, domain purchasing, and design labor. Setup fees are strictly non-refundable once work on the project has officially commenced.

  • Monthly Subscriptions: Monthly management fees cover ongoing labor, content updates, and platform hosting in 30-day blocks. Payments are non-refundable once billed for the active 30-day window.

  • Cancel Anytime: Clients may cancel their subscription at any time by providing written notice at least 7 business days prior to their next 30-day billing date.

  • Effect of Cancellation: Upon cancellation notice, services continue until the end of the current paid 30-day billing cycle, after which asset transfer procedures will begin.

6. Client Responsibilities & Materials

  • Content & Approvals: The Client agrees to supply necessary logos, photos, business details, and feedback in a timely manner. Delays in client feedback will extend delivery schedules but do not halt recurring billing schedules.

  • Copyright Representation: The Client guarantees that all copy, images, and branding assets provided to AWS do not infringe on any third-party copyrights or trademarks.

7. Third-Party Platform Compliance

Client agrees to comply with the Acceptable Use Policies and Terms of Service of third-party platforms utilized by AWS, including Wix.com and Namecheap. AWS is not liable for service suspensions or enforcement actions resulting from Client violations of third-party platform policies.

8. Privacy & Data Handling

All customer leads, form submissions, and end-user contact data generated through the Client's website remain 100% the sole property of the Client. AWS does not sell, rent, or utilize client lead data for any secondary purposes.

9. Indemnification

Client agrees to defend, indemnify, and hold harmless Affordable Web Studio and Diane Marie Ladrido from any claims, damages, liabilities, or legal fees arising from Client's business operations, copyright infringement on client-provided assets, or trade licensing disputes.

10. Disclaimers & Limitation of Liability

  • Search Engine & AI Rankings Disclaimer: AWS uses industry-standard technical SEO and AI-search optimization practices (targeting Google, ChatGPT, Gemini, etc.). However, search engine algorithms are controlled by third parties. AWS does not guarantee specific position rankings, traffic volumes, or revenue earnings.

  • Platform Downtime: AWS is not liable for third-party hosting, registrar (Namecheap), or web platform server outages beyond our direct operational control.

  • Maximum Liability: To the maximum extent permitted by law, the total liability of AWS and Diane Marie Ladrido for any claims arising under these terms shall not exceed the total amount paid by the Client to AWS during the one (1) month preceding the event giving rise to liability.
